We are recruiting a Governance Officer on behalf of an independent charity. This is an opportunity to work closely with senior leaders and trustees, supporting effective decision-making and keeping the charity’s governance running smoothly.
If you enjoy organising meetings, producing accurate minutes, building relationships and making sure important details are followed through, this role offers variety and purpose.
The role
Reporting to the Head of Governance, you will provide high-quality support to the board, its committees and a subsidiary company. You will take responsibility for servicing at least one committee, coordinating the meeting cycle from forward planning and preparing papers through to recording decisions and tracking actions.
Your responsibilities will include:
- Coordinating agendas, meeting papers and minutes, working closely with senior colleagues and committee chairs.
- Organising in-person, hybrid and virtual meetings, board awaydays and other governance events, including logistics, technology and travel arrangements.
- Maintaining forward plans, governance records, membership lists, skills information and action trackers.
- Keeping policy review schedules and key registers up to date, including declarations of interests, gifts and hospitality.
- Supporting regulatory filings, annual accounts reporting and data protection procedures.
- Assisting with trustee recruitment, induction and ongoing support.
- Updating governance guidance, training materials and intranet resources, and supporting reviews of board effectiveness.
- Providing meeting and administrative support to the charity’s staff representative forum.
Alongside delivering reliable day-to-day support, you will help identify practical ways to improve governance systems and processes.
About you
You will bring experience of supporting senior managers, trustees, governors or committee members, with the confidence and professionalism to build effective working relationships.
You will also have:
- Experience of organising and servicing meetings, including preparing documentation and taking accurate, concise minutes.
- An understanding of corporate governance principles and how they apply in practice.
- Strong organisational skills, with the ability to manage competing deadlines and maintain excellent attention to detail.
- Experience of maintaining accurate systems, trackers and records.
- Excellent written and verbal communication skills, sound judgement and discretion when handling sensitive information.
- Confidence using Microsoft Office, Teams and Adobe Acrobat, including formatting longer documents and working with spreadsheets and templates.
- The ability to work independently, take ownership and seek guidance when needed.
- A commitment to equality, diversity and inclusion.
Charity governance knowledge and a governance qualification, such as CGI or equivalent, would be welcome but are not essential.
